It needs to not be unfairly prejudicial
It can be prejudicial
It doesnt need to be equally fair to everyone
You dont have to take potentially ruinous alternatives
All the surrounding commercial circumstances are relevant to fairness
(This wont get to court so we will never find out which of us is right!)
