Its Not Football, Its Business Law...

....thats what he's taken advantage of, a law that applies to any and all companies, not just football clubs. If its to change-and it should-then business law needs to be reviewed and overhauled so that all companies/PLC's are unable to take advantage of, not just football clubs.
