Because there's a whole economy based on those loopholes

Not just those exploiting them but those coming up with them. The law is always having to play catch up (like sports drug testers). The 'loopholes' usually have a valid reason for being there but lawyers find ways to make transactions which should not be covered by them look like something else that is.
